Nscale is reportedly seeking as much as $3.5 billion in financing before a possible public offering later this month. Bloomberg says the British AI infrastructure provider is discussing $1.5 billion in convertible notes with investors and another $2 billion in financing from Nvidia. Neither portion is described as completed.
A convertible note begins as debt and can later turn into company shares under agreed conditions. That structure would give Nscale capital for expensive computing infrastructure while postponing part of the valuation decision until an IPO or another financing event. Nvidia also participated in Nscale’s $1.1 billion Series B in March, led by Aker.
The two-year-old company previously raised $155 million in a 2024 Series A. Its expansion accelerated after signing an approximately $45 billion agreement with Anthropic. Nscale has reportedly presented $103 billion as revenue after that deal, but The Information says the figure is a projection based on signed customer leases rather than current sales.
The distinction matters because building data-center capacity requires large upfront commitments while revenue arrives over time. Customer contracts can make those projects easier to finance, yet construction, hardware delivery and utilization still affect returns. Nscale has said it may list publicly soon, but the reported funding talks and IPO timetable remain subject to change.
